Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website withai.co and the WithAI desktop application (together, the “Service”) provided by WithAI, Inc. (“WithAI,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

WithAI provides software that helps asset managers and their teams organize their work, including a dashboard that can connect to third-party services such as your email and calendar to display and prioritize information. We may add, change, or remove features at any time.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of any credentials you use and for all activity that occurs under your account.

3. Acceptable use

You agree not to:

• Use the Service in violation of any law or regulation.
• Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it.
• Reverse engineer or copy the Service except as permitted by law, or resell or redistribute it without our permission.

4. Third-party services

The Service can connect to third-party services that you authorize, such as Google (Gmail and Google Calendar), Microsoft, and others. Your use of those services is governed by their own terms and privacy policies, and your use of Google APIs through the Service is also subject to the Google APIs Terms of Service. We are not responsible for third-party services, and you authorize such connections at your own discretion. How we handle data from connected services is described in our Privacy Policy.

5. Your content and data

You retain all rights to the data you connect to or create within the Service. You grant us a limited license to process that data solely to provide the Service to you, as described in our Privacy Policy. You are responsible for ensuring you have the right to connect any data or accounts you use with the Service.

6. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by WithAI and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

7. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. Nothing in the Service constitutes financial, investment, legal, or tax advice.

8. Limitation of liability

To the maximum extent permitted by law, WithAI and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars.

9. Indemnification

You agree to indemnify and hold WithAI harmless from any claims, losses, or expenses arising out of your misuse of the Service or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.

11. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Delaware, unless applicable law requires otherwise.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
